1. About these Terms
These Terms and Conditions (“Terms”) govern your access to and use of the VillsynConnect Restaurant Portal (the “Portal”), operated by VillsynConnect. By creating a restaurant profile, logging in, or using any Portal feature, you agree to these Terms and our Privacy Policy, including processing of personal data under India's Digital Personal Data Protection Act, 2023.
If you do not agree, do not create a restaurant or continue using the Portal.
2. Who the Portal is for
The Portal is a business tool for restaurant owners and authorised restaurant staff (“Vendors”) to manage their restaurant on the VillsynConnect food-ordering platform. It is not a consumer ordering app.
Typical uses include:
- Logging in securely with mobile OTP verification
- Creating and updating one restaurant profile (name, cuisine, address, hours, photos)
- Managing menus and menu items (availability, pricing, images)
- Receiving and handling customer orders in real time
- Updating order status (accept/reject, preparing, ready, out for delivery)
- Viewing earnings, GST breakup, and platform commission insights
- Contacting support for account or operational help
3. Account and access
Access is granted after successful mobile OTP login for the vendor role. You are responsible for keeping your registered mobile number secure and for all activity under your session.
- Only one active session may be allowed per account; logging in on another device may require logging out the previous session.
- You must provide accurate restaurant and business information and keep it up to date.
- Restaurant creation requires acceptance of these Terms and the Privacy Policy.
- VillsynConnect may suspend or restrict access for misuse, fraud, or violation of these Terms.
4. Restaurant profile and menus
You are solely responsible for the accuracy of restaurant details, operational hours, menu items, prices, food category (veg / non-veg / all), images, and special instructions shown to customers.
- Prices you set must include any taxes you intend customers to see, as configured for your restaurant on the platform.
- You must not list prohibited, illegal, or misrepresented items.
- Marking items unavailable when out of stock is your responsibility.
- Location and address data captured for delivery must be correct so orders can be fulfilled.
5. Orders and fulfilment
When a customer places an order through VillsynConnect, it may appear in your Portal for acceptance or rejection. By accepting an order you commit to prepare and hand it over as per the stated preparation time and platform process.
- Accept / Reject: You should respond promptly. Rejected orders notify the customer; repeated unjustified rejections may affect your standing on the platform.
- Preparing / Ready: Update status so customers and delivery partners have accurate timing.
- Out for delivery: When a delivery partner is assigned, hand over the packed order as instructed in the Portal.
- Payment display: Orders may show payment mode such as COD (cash on delivery) or Paid (prepaid / online). Collect cash only when the order is marked COD, as per platform rules.
- Final delivery confirmation is typically completed by the delivery partner or platform workflow after pickup.
6. Pricing, GST, and earnings
Order amounts in the Portal are handled in Indian Rupees (₹). Internal systems may store amounts in paisa (100 paisa = ₹1). The Earnings section shows how revenue is split for reporting purposes.
6.1 What customers pay
A typical order total may include item value, applicable food GST, packaging, delivery fee, discounts, and any platform fees configured for that order. Exact line items depend on the order and local tax rules.
6.2 How GST is shown
Where GST applies on food / menu value, the Portal may display a breakup such as:
- CGST — Central GST (typically for intra-state supply)
- SGST — State GST (typically for intra-state supply)
- IGST — Integrated GST (typically for inter-state supply)
- Total Food GST — sum of applicable CGST / SGST / IGST on the food component
- Platform GST — GST that may apply on platform / commission related charges
Total Order Value in earnings insights may be presented as gross food revenue plus applicable food GST (and other charges where shown). Figures are for vendor reporting inside the Portal and may not replace your official tax invoices or GST returns.
6.3 Platform commission and net earnings
VillsynConnect may deduct a platform commission from eligible order value at the commission percentage configured for your restaurant or commercial agreement. Earnings views may show:
- Gross revenue — food / order value before or as defined for reporting (see Portal labels for the selected period)
- Commission deducted — platform commission for the period
- GST deducted / shown — tax components associated with the period’s orders
- Net earnings — amount attributable to the restaurant after applicable platform deductions for that reporting view
Commission rates, settlement timelines, refunds, cancellations, and chargebacks are governed by your commercial arrangement with VillsynConnect and applicable law. Portal analytics are informational; settlement statements from VillsynConnect (or its payment partners) prevail in case of conflict.
6.4 Your tax responsibilities
You remain responsible for registering under GST (if required), issuing compliant invoices where applicable, filing returns, and remitting taxes to the government. VillsynConnect does not provide tax, legal, or accounting advice through the Portal.
7. Delivery partners
Delivery may be fulfilled by VillsynConnect-assigned delivery partners. The Portal may show partner name and phone for handover. You must cooperate with assigned partners and not misuse their contact details.
8. Acceptable use
You agree not to:
- Abuse the Portal, attempt unauthorised access, or disrupt services
- Manipulate order status, payments, or earnings reporting fraudulently
- Upload unlawful, infringing, or harmful content or images
- Share login OTPs or allow unauthorised staff to operate your account without oversight
9. Intellectual property
The Portal design, software, branding, and VillsynConnect marks belong to VillsynConnect or its licensors. Your restaurant name, logos, and menu content remain yours; you grant VillsynConnect a licence to display them to customers for ordering and marketing related to the platform.
10. Disclaimers and limitation of liability
The Portal is provided on an “as available” basis. We aim for reliable order notifications and earnings data, but we do not guarantee uninterrupted service, error-free analytics, or that every third-party network (SMS, maps, payments, delivery) will always work.
To the fullest extent permitted by law, VillsynConnect is not liable for indirect or consequential losses (including lost profits, goodwill, or data) arising from Portal use. Direct liability, where not excluded by law, is limited to fees paid to VillsynConnect for Portal access in the three months before the claim (or a reasonable equivalent if no such fee applies).
11. Changes
We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use after updates means you accept the revised Terms. Material changes may also be communicated in the Portal or by message where practical.
12. Governing law
These Terms are governed by the laws of India. Courts in India shall have jurisdiction, subject to any mandatory consumer or commercial protections that apply to you.
